These Terms of Service ("Terms") govern your use of the Flynn Automotive website and your purchase of vehicles, services, and related products from Flynn Automotive ("Flynn," "we," "us," or "our"). By accessing our website, browsing inventory, submitting a purchase offer, or conducting any transaction with Flynn, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Flynn Automotive is an OMVIC-licensed motor vehicle dealer operating in Ontario, Canada under Ontario Regulation 675/18. All transactions are governed by the Motor Vehicle Dealers Act (MVDA) and these Terms. In the event of any conflict between these Terms and applicable Ontario law, Ontario law prevails.

1. Acceptance of Terms

By using this website or purchasing a vehicle from Flynn, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable Ontario motor vehicle dealer regulations. These Terms apply to all transactions, whether conducted online, by phone, or in person at our dealership located at 107 Read Road, Niagara-on-the-Lake, ON L0S 1J0.

2. Vehicle Listings and Inventory

All-In Pricing

All advertised vehicle prices are "all-in" prices as required by Ontario law. The advertised price includes all dealer fees and charges except for Harmonized Sales Tax (HST at 13%) and vehicle licensing fees. No additional dealer fees will be charged beyond what is disclosed in the settlement statement on your Bill of Sale. HST is calculated on the applicable taxable base as determined by your vehicle's status (standard retail vs. trade-in allowance).

Price Changes

Vehicle prices are subject to change at any time without notice. If you have submitted an offer or a vehicle is on hold, the price will be locked once a deposit has been received and processed. Prices displayed on our website are accurate at the time of display, but we reserve the right to update pricing due to market conditions, damaged inventory, or sale of the vehicle to another buyer.

Photos and Descriptions

Vehicle photographs are intended to represent the general condition and appearance of the vehicle. Photos may not reflect minor cosmetic variations, temporary damage, or changes made between the time the photo was taken and the time of purchase. We recommend inspecting the vehicle in person before completing your purchase. All vehicle descriptions, including year, make, model, mileage, and features, are provided in good faith but are subject to verification. Any discrepancies should be reported immediately.

Inventory Availability

Vehicles listed on our website are subject to prior sale. If a vehicle sells before your offer is accepted, we will notify you and offer to assist you in finding a comparable vehicle. Stock numbers are provided for reference only and do not constitute a guarantee of availability.

3. Online Purchases and Deposits

Offer Submission

When you submit an offer online through the "Make an Offer" feature or through our purchase wizard, you are expressing your intent to purchase the vehicle subject to acceptance by Flynn and completion of all required documentation. An offer is not binding until accepted by an authorized Flynn representative.

Deposit

A refundable deposit of $500 is required to secure a vehicle and proceed through the purchase process. The deposit is collected via Stripe at the time of offer submission or during the purchase wizard. The deposit will be applied toward your final purchase price at settlement. In the event that you cancel the purchase before signing the Bill of Sale, the deposit will be refunded in full within 10 business days, provided that no damage has occurred to the vehicle while held for you.

Completion of Purchase

A purchase is not complete until you have signed the Bill of Sale and all payment obligations have been satisfied. The deposit secures the vehicle but does not complete the transaction. You have the right to inspect the vehicle in detail and review the Bill of Sale before signing. If you discover undisclosed damage or condition issues, contact Flynn immediately before signing.

Cancellation

You may cancel your purchase offer prior to signing the Bill of Sale. If cancelled before the Bill of Sale is signed, your deposit will be refunded. Once the Bill of Sale is signed by both parties, the purchase is binding, and cancellation is subject to the 72-hour exchange policy outlined below.

4. Flynn Guarantee – 72-Hour Exchange

Flynn stands behind our vehicles with a 72-hour exchange guarantee as part of our commitment to customer satisfaction. If you discover a mechanical issue or condition problem with your vehicle within 72 hours of the Bill of Sale being signed, you may exchange the vehicle for another vehicle of comparable value from our inventory.

Conditions of the Guarantee

  • The vehicle must not have been modified or damaged due to misuse or negligence by the buyer
  • The vehicle must not have excessive additional mileage (more than 500 km driven after purchase)
  • The claimed issue must be a legitimate mechanical or structural defect, not normal wear and tear
  • You must notify Flynn within 72 hours of signing the Bill of Sale
  • The vehicle must be inspected by Flynn's service technician to confirm the claimed defect
  • Only one exchange per purchase is permitted under this guarantee

5. Financing

Flynn offers financing through third-party lenders. All financing offers are subject to lender approval and are contingent upon credit assessment and vehicle appraisal. Flynn is not a lender and does not make final lending decisions.

Interest Rates and Terms

Interest rates displayed on our website and in our financing calculator are estimates based on standard lending criteria and vehicle age. Actual approved rates may vary based on your credit profile, employment, income, and down payment. Financing terms are negotiable and subject to lender approval. All applicable fees, including PPSA registration and cost of borrowing, will be clearly disclosed in your financing agreement before you sign.

Credit Application

When you apply for financing, you authorize Flynn to submit your application to one or more lenders for credit assessment. You consent to credit inquiries and the sharing of your personal information with lenders as necessary to process your application. Your consent and authorization are required before any lender submission.

Down Payment

A down payment is typically required for financed purchases. The minimum down payment will be specified in your financing offer. The down payment is the deposit you provide at the time of purchase and is non-refundable once the Bill of Sale is signed.

6. Trade-In Estimates

Flynn provides AI-powered preliminary trade-in estimates to help you understand the potential value of your vehicle. These estimates are generated using industry data, vehicle history, and market conditions and are not binding offers to purchase your vehicle.

Preliminary vs. Final Appraisal

AI estimates are preliminary in nature. The final value of your trade-in vehicle will be determined by a staff appraisal conducted during your visit to Flynn. The final appraisal may differ from the preliminary estimate based on the vehicle's actual condition, mileage, mechanical status, body condition, interior wear, accident history, and current market demand. We encourage you to have your vehicle professionally inspected before accepting an appraisal.

Validity and Expiry

Trade-in estimates are valid for 14 days from the date of generation. After 14 days, the estimate will expire and a new estimate will be required. If the condition of your vehicle changes materially (e.g., mechanical damage, accident, significant mileage increase) before appraisal, the trade-in value may be adjusted downward.

Lien Payoff

If your vehicle has an outstanding loan balance or lien, Flynn will work with your lender to arrange payoff at settlement. You are responsible for providing accurate lien and loan information. If the trade-in value does not cover the outstanding lien balance, you will be responsible for paying the difference.

7. Vehicle Condition and Inspection

All Flynn vehicles are sold as inspected and as described. Before finalizing your purchase, we recommend that you have the vehicle inspected by an independent mechanic of your choice. This inspection is at your own expense and is strongly recommended.

OMVIC Mandatory Disclosures

As an OMVIC-licensed dealer, Flynn is required by law to disclose specific vehicle history and condition information. These mandatory disclosures appear on the Bill of Sale and include: whether the vehicle was previously a daily rental, whether the vehicle has a branded title (salvage, rebuilt, or irreparable), whether the vehicle was previously used as a police or emergency vehicle, whether the vehicle was previously used as a taxi or commercial vehicle, whether the vehicle was registered out of province, any known odometer discrepancies, any known accident or damage history, and any outstanding liens. You must review and acknowledge these disclosures before signing the Bill of Sale.

As-Is Clause

Unless otherwise agreed to in writing, all vehicles are sold on an "as-is" basis. This means that the vehicle is sold in its current condition, and Flynn makes no warranty regarding the mechanical fitness or future reliability of the vehicle. However, all OMVIC mandatory disclosures and applicable consumer protection laws remain in force.

Pre-Purchase Inspection

You have the right to inspect the vehicle in person and review all condition details before signing the Bill of Sale. If you have concerns about the vehicle's condition, please raise them with Flynn immediately. Once you sign the Bill of Sale, you are confirming that you have had the opportunity to inspect the vehicle and are accepting it in its current condition (subject to the 72-hour exchange guarantee).

8. Service and Repairs

Flynn provides vehicle service, maintenance, and repair services at our facility. All service estimates are provided in good faith based on initial inspection but are approximations only and subject to change based on additional findings during service.

Service Estimates

Service estimates are non-binding and are based on preliminary inspection. Once work begins, additional issues may be discovered that will require further authorization and additional cost. We will contact you to discuss any additional work recommended beyond the original estimate before proceeding.

Authorization Required

No service work beyond the authorized scope will be performed without your explicit written or verbal authorization. If we discover additional work during service, we will contact you and receive approval before proceeding. Work performed without authorization may be charged to your account.

Payment Terms

Service invoices are due upon completion of work or as specified in the invoice. We accept cash, debit, credit card, bank transfers, and financing through partner lenders. Service work may be held until payment is received in full.

9. Customer Portal and Account Security

Flynn's online customer portal ("My Garage") allows you to manage your account, view your vehicles, track service history, and access documents. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

Account Responsibility

You agree to provide accurate and complete information when creating your account and to update your information as needed. You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account. Authorized Users

Only you or authorized users designated by you should access your account. You are responsible for all actions taken through your account, and Flynn is not liable for any unauthorized access or use of your account credentials.

10. Intellectual Property

All content on the Flynn Automotive website, including text, graphics, logos, images, videos, and software, is the property of Flynn Automotive or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. You may view and print content for your personal, non-commercial use only. You may not reproduce, distribute, modify, transmit, or use any content without Flynn's prior written consent. Unauthorized use of Flynn's intellectual property is strictly prohibited.

11. Limitation of Liability

To the maximum extent permitted by law, Flynn is not liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the website, purchase of a vehicle, or receipt of services. Flynn's total liability to you for any claim arising out of these Terms or your relationship with Flynn shall not exceed the amount of the deposit or payment made by you, whichever is greater. This limitation applies regardless of the legal theory upon which the claim is based (contract, tort, negligence, etc.), except where such limitation is prohibited by law. Some provinces do not allow the limitation or exclusion of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Flynn Automotive, its owners, employees, agents, and representatives from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the website, your purchase of a vehicle, your receipt of services, or your violation of these Terms or applicable law.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles. All legal proceedings arising out of or related to these Terms shall be brought exclusively in the courts of Ontario, and you consent to the exclusive jurisdiction and venue of those courts. All transactions are subject to the Motor Vehicle Dealers Act (MVDA) and Ontario Regulation 675/18, which apply to all dealer-consumer transactions in Ontario.

14. OMVIC Compliance and Dispute Resolution

Flynn Automotive is an OMVIC-licensed dealer. As a licensed dealer, Flynn is subject to OMVIC regulation and consumer protection standards. If you have a complaint regarding Flynn's conduct or a vehicle purchased from Flynn, you have the right to file a complaint with OMVIC.

OMVIC Complaint Process

Complaints can be filed with OMVIC online or by contacting them directly. OMVIC will investigate complaints and may take disciplinary action if a violation of the MVDA is found.

Warranty Disputes

Any disputes regarding warranty coverage or vehicle condition that cannot be resolved between you and Flynn may be referred to CAMVAP (Canadian Motor Vehicle Arbitration Plan) for third-party dispute resolution. The CAMVAP statement appears on all Bills of Sale.

15. Changes to Terms

Flynn reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to the website. Your continued use of the website or services following the posting of changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any changes.
